Предложение публике новых ценных бумаг или долговых обязательств, которое делается непосредственно с использованием проспекта (prospectus) - документа, содержащего подробное изложение целей, задач и структуры капитала компании, а также данные о ее истории. Проспект должен соответствовать нормам Закона о компаниях 1985 г. Сравни: offer for sale (предложение для продажи).

Предложение широкой публике приобретать ценные бумаги компании через посредников, таких, как эмиссионный дом (issuing house) или торговый дом (merchant bank) (сравни: offer by prospectus (предложение компанией новых ценных бумаг при помощи проспекта)). Это один из наиболее распространенных способов размещения ценных бумаг (flotation). Предложение для продажи может осуществляться двумя путями: по фиксированной цене, что наиболее распространено, но в случае превышения спроса над предложением требует каких-то форм жеребьевки или распределения; или путем выпуска ценных бумаг с помощью торга (issue by tender), в этом случае отдельные лица заявляют о готовности купить определенное количество ценных бумаг по какой-то минимальной или более высокой цене, и бумаги уходят тому, кто дал более высокую цену. В США “предложение для продажи” называется public offering. Сравни: introduction (размещение ценных бумаг); placing (размещение ценных бумаг); public issue (публичный выпуск новых акций).
